Terms of Service

1.1 Platform Description

Buzzaar Benelux B.V. is an ambassador and influencer marketing platform that connects consumer brands ("Brand Partners") with individuals who promote products through word-of-mouth and social media content creation. The Platform facilitates:

• Registration and onboarding of ambassadors and influencers
• Matching users with brand campaigns ("Launches") based on their profile, interests, and social media presence
• Distribution of products for review and promotion
• Tracking of campaign participation and content creation
• Calculation of Ambassador Scores based on social media performance metrics

1.2 User Types

The Platform serves two primary user types:

• WOM Ambassadors -- Individuals who promote products through personal word-of-mouth recommendations within their social circles, communities, and everyday interactions.
• Influencers -- Content creators who promote products through their social media channels (Instagram, TikTok, and other platforms) to their followers.

1.3 Role of Buzzaar Benelux B.V.

Buzzaar Benelux B.V. acts as an intermediary platform connecting Brand Partners with Users. Buzzaar Benelux B.V. does not manufacture, sell, or distribute the products featured in campaigns. Brand Partners are solely responsible for their products, including product quality, safety, and compliance with applicable regulations.

2.1 Age Requirement

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you are at least 18 years old. We verify age during the registration process and reserve the right to terminate accounts where the User is found to be under 18.

2.2 Account Registration

To use the Platform, you must create an account by providing:

• A valid email address
• A secure password
• Your full legal name
• Your date of birth
• Your phone number
• Your country and city of residence

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately at help@buzzaar.world if you suspect unauthorized access to your account

You must not share your account credentials with any third party or allow any other person to access the Service using your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

2.4 One Account Per Person

Each individual may maintain only one account on the Platform. Creating multiple accounts is prohibited and may result in the termination of all associated accounts.

3.1 Profile Completion

After registration, you may be asked to complete your profile and fill out questionnaires designed to help us match you with relevant campaigns. This may include information about your interests, lifestyle, product preferences, household composition, and professional background.

3.2 Accuracy of Information

You agree that all information you provide in your profile and questionnaires is truthful, accurate, and not misleading. Providing false or misleading information may result in removal from campaigns and termination of your account.

3.3 Profile Visibility

Certain profile information (such as your name, profile photo, ambassador type, and Ambassador Score) may be visible to Brand Partners for the purpose of campaign matching and selection. Your full profile is not publicly visible to other Users unless you participate in a shared campaign where limited information may be displayed.

4.1 Connecting Social Media Accounts

The Platform allows you to connect your Instagram and TikTok accounts to enhance your profile and enable participation in social media-based campaigns. Social media connections are facilitated through Phyllo, our authorized data aggregation partner.

4.2 Data Retrieved

When you connect a social media account, we retrieve data as described in our Privacy Policy, including your username, profile information, follower metrics, and published content data. This data is used to calculate your Ambassador Score and to evaluate your eligibility for campaigns.

4.3 Authorization and Permissions

By connecting a social media account, you authorize Buzzaar Benelux B.V. and Phyllo to access the data available through the respective platform's API in accordance with the permissions you grant. You may revoke this authorization at any time by disconnecting the social media account from your profile.

4.4 Compliance with Platform Policies

You acknowledge and agree that your use of social media accounts in connection with the Service must comply with the terms of service and community guidelines of the respective social media platforms (including Instagram's Terms of Use and Community Guidelines, and TikTok's Terms of Service and Community Guidelines).

5.1 Campaign Participation

Brand Partners create campaigns on the Platform. You may be invited to participate in a campaign or may apply to join one, depending on the campaign's structure. Participation in any campaign is subject to:

• Meeting the campaign's eligibility criteria (which may include Ambassador Score thresholds, follower count minimums, geographic location, demographic criteria, or other requirements)
• Acceptance by the Brand Partner or Buzzaar Benelux B.V.
• Availability of campaign slots

Buzzaar Benelux B.V. and Brand Partners reserve the right to accept or reject any application for campaign participation at their sole discretion.

5.2 Campaign Obligations

When you are accepted into a campaign, you agree to:

• Follow the campaign brief and guidelines provided by the Brand Partner
• Create and publish content in accordance with the campaign requirements and specified timelines
• Disclose your participation as required by applicable advertising disclosure laws and regulations (e.g., using #ad, #sponsored, or equivalent disclosures as required in your jurisdiction)
• Provide honest and authentic opinions about the products
• Not make false, misleading, or unsubstantiated claims about the products
• Complete all required campaign tasks within the specified deadlines

5.3 Product Receipt

Certain campaigns may involve receiving products from Brand Partners. By participating in such campaigns:

• You agree to provide a valid delivery address
• You acknowledge that products are provided for review and promotional purposes
• You understand that receipt of products may have tax implications in your jurisdiction, and you are solely responsible for any applicable tax obligations
• You must not resell, redistribute, or misuse products received through campaigns unless explicitly permitted by the campaign terms

5.4 Campaign Removal

Buzzaar Benelux B.V. and Brand Partners reserve the right to remove you from a campaign if you:

• Fail to comply with the campaign brief or guidelines
• Miss deadlines without prior communication
• Produce content that is offensive, misleading, or does not meet quality standards
• Violate these Terms or any applicable laws
• Engage in fraudulent activity (including but not limited to purchasing fake followers or engagement)

6.1 Score Calculation

Your Ambassador Score is a proprietary metric calculated by Buzzaar Benelux B.V. based on various factors, which may include:

• Social media follower counts and growth trends
• Engagement rates (likes, comments, shares, views)
• Content quality and frequency
• Campaign participation history and performance
• Profile completeness
• Platform activity and reliability

6.2 Score Usage

Your Ambassador Score is used to:

• Match you with campaigns appropriate to your reach and influence level
• Determine eligibility for specific campaign tiers
• Provide Brand Partners with a standardized metric for evaluating potential ambassadors

6.3 Score Transparency

You can view your current Ambassador Score in your account dashboard. While we provide general information about the factors that influence your score, the specific algorithm and weighting methodology are proprietary and confidential.

6.4 No Guarantees

A high Ambassador Score does not guarantee selection for any particular campaign. Campaign selection is ultimately determined by Brand Partners based on their specific needs and criteria.

7.1 Content You Create

"User Content" refers to all content you create, upload, submit, or publish through or in connection with the Service, including but not limited to photos, videos, text, reviews, and social media posts created as part of campaigns.

7.2 License Grant

By submitting User Content to the Platform or creating User Content as part of a campaign, you grant Buzzaar Benelux B.V. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform such User Content in connection with the Service and Buzzaar Benelux B.V.'s business operations, including for marketing and promotional purposes. This license continues while you use the Service. For Buzzaar Benelux B.V.'s own marketing use of your User Content, this license expires 3 years after account termination.

Brand Partners receive a separate license to use campaign-related User Content as specified in the applicable campaign terms. Campaign content already shared with Brand Partners retains its license per the applicable campaign terms. Such license terms will be presented to you before you accept a campaign.

7.3 Content Ownership

You retain ownership of your User Content. Nothing in these Terms transfers ownership of your User Content to Buzzaar Benelux B.V. or any Brand Partner, except as expressly stated in specific campaign terms.

7.4 Content Representations

By submitting User Content, you represent and warrant that:

• You are the creator and owner of the content, or have obtained all necessary rights and permissions
• The content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
• The content is truthful and not misleading
• The content complies with all applicable laws and regulations
• The content does not contain any material that is defamatory, obscene, hateful, or otherwise objectionable

7.5 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion and without prior notice.

8.1 Buzzaar Benelux B.V. Intellectual Property

The Service, including its design, features, functionality, software, text, graphics, logos, icons, images, and the Ambassador Score algorithm, is the property of Buzzaar Benelux B.V. and is protected by copyright, trademark, and other intellectual property laws.

The Buzzaar Benelux B.V. name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Buzzaar Benelux B.V.. You must not use such marks without our prior written permission.

8.2 Limited License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes (i.e., participation in campaigns as an ambassador or influencer).

8.3 Restrictions

You must not:

• Copy, modify, or create derivative works based on the Service or any part thereof
• Reverse engineer, decompile, or disassemble the Service
• Remove any copyright, trademark, or other proprietary notices from the Service
• Use any automated means (bots, scrapers, crawlers) to access or collect data from the Service
• Frame or mirror any part of the Service without our written permission
• Use the Service to develop a competing product or service

You agree not to engage in any of the following prohibited activities:

• Fraud and Misrepresentation -- Creating fake accounts, providing false information, purchasing fake followers or engagement, or misrepresenting your identity, qualifications, or social media metrics
• Spam and Abuse -- Sending unsolicited communications, posting spam content, or abusing the Platform's messaging features
• Harassment -- Harassing, threatening, intimidating, or bullying other Users, Brand Partners, or Buzzaar Benelux B.V. personnel
• Illegal Activity -- Using the Service for any purpose that violates applicable local, national, or international law or regulation
• Unauthorized Access -- Attempting to gain unauthorized access to other Users' accounts, the Service's infrastructure, or connected systems
• Data Scraping -- Collecting or harvesting personal data of other Users or any data from the Service through automated means
• Interference -- Interfering with or disrupting the Service, servers, or networks connected to the Service
• Circumvention -- Attempting to bypass any security measures, rate limits, or access controls implemented by the Service
• Multiple Accounts -- Creating or maintaining more than one account per individual
• Commercial Misuse -- Using the Service for any commercial purpose other than participating in campaigns as intended, including reselling products received through campaigns

10.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your account settings or by contacting us at help@buzzaar.world. Upon termination:

• Your access to the Service will be revoked
• Your personal data will be handled in accordance with our Privacy Policy
• Any pending campaign obligations remain in effect and must be completed or resolved
• Licenses granted to Buzzaar Benelux B.V. and Brand Partners for previously submitted User Content will survive termination as described in Section 7.2

10.2 Termination by Buzzaar Benelux B.V.

We may suspend or terminate your account, with or without notice, if:

• You violate these Terms or any applicable campaign terms
• You engage in prohibited conduct as described in Section 9
• You fail to meet campaign obligations repeatedly
• We are required to do so by law
• We discontinue the Service or any material part thereof

10.3 Effect of Termination

Upon termination of your account:

• All rights and licenses granted to you under these Terms will immediately cease
• You must immediately stop using the Service
• We may retain certain data as described in our Privacy Policy and as required by law
• Sections 7 (User Content), 8 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) will survive termination

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, Buzzaar Benelux B.V. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results

We do not guarantee that:

• You will be selected for any particular campaign
• You will achieve any particular Ambassador Score
• The Service will be uninterrupted, timely, secure, or error-free
• Any specific results will be achieved through your use of the Service
• Products received through campaigns will meet your expectations

11.3 Third-Party Products

Buzzaar Benelux B.V. is not responsible for the quality, safety, legality, or suitability of products provided by Brand Partners. Any issues with products should be directed to the respective Brand Partner.

11.4 Third-Party Services

The Service may contain links to or integrate with third-party websites, platforms, or services (including Instagram, TikTok, WhatsApp, and Phyllo). We are not responsible for the content, privacy practices, or availability of such third-party services.

12.1 Exclusion of Certain Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Buzzaar Benelux B.V., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF Buzzaar Benelux B.V. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Buzzaar Benelux B.V.'s TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO Buzzaar Benelux B.V., IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

12.3 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Buzzaar Benelux B.V. and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third party's rights, including intellectual property, privacy, or publicity rights
• Your participation in campaigns, including any claims related to product endorsements or advertising disclosures

14.1 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us at help@buzzaar.world and attempt to resolve the dispute informally within 30 days.

14.2 Arbitration

If we are unable to resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted in the English language.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND Buzzaar Benelux B.V. AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

14.4 Consumer Carve-Out

This arbitration clause does not apply to users who are consumers resident in the European Economic Area, United Kingdom, Mexico, or any jurisdiction where mandatory pre-dispute arbitration of consumer disputes is prohibited by law. Such users may bring claims in the courts of their habitual residence.

14.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-laws provisions. To the extent litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the competent courts of the Netherlands.

16.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Buzzaar Benelux B.V. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

The failure of Buzzaar Benelux B.V. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall not be deemed a waiver of any other provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Buzzaar Benelux B.V. may assign its rights and obligations under these Terms without your consent.

16.5 Force Majeure

Buzzaar Benelux B.V. shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, government actions, internet outages, or third-party service failures.

16.6 Notices

We may send notices to you via email to the address associated with your account, through in-app notifications, or by posting on the Platform. You may send notices to us at help@buzzaar.world.

16.7 Language

These Terms are provided in English. If these Terms are translated into any other language and there is a discrepancy between the English version and the translated version, the English version shall prevail.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of these Terms
• Notify you by email or through a prominent notice on the Platform at least 15 days before the changes take effect
• Where required by law, seek your consent to material changes

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account.
